MSU Faculty Emeriti Association

Steering Committee Meeting Minutes

209 Olds Hall

February 21, 2007  1:30-3:30 p.m.

Attendees:  Stone, Reid, Gliozzo, Funk, Medick, Ishino, Vanosdall and Shaw

    I.  Welcome

Chair Stone welcomed the group and noted that the next meeting of the Steering Committee will be on March 20 and the next Seminar by Dr. Rose Zacks would be on March 21, 2007.  He indicated that the next meeting is on a Tuesday instead of our regular meeting day because of the scheduled seminar the next day.

Chair Stone reported that Professor William Kimball was in the hospital after suffering a heart attack.  He had received a call from his daughter (March 17) to inform us of his situation.  Professor Funk reported that he had visited Dr. Kimball and that he was out of intensive care but was still scheduled for surgery to correct the problem.    We all wish Bill a speedy recovery and hope to see him back with our Steering Committee as soon as possible.

Stone said that a revision of the FEA brochure was needed and that work still needs to be done and that it needs proofreading.  Professor Funk will help with the layout of the brochure when it is ready.   This material is important for advertising the FEA and is used whenever anyone requests information on our group.

II.               The minutes of the January 24, 2007 meeting were approved with changes noted.

III.             Selection of a Representative To Faculty Council

Stone reported that the Executive Committee of Academic Council had voted to recommend to recommend that the faculty emeriti be allowed to sit as a member of Faculty Council for the remainder of the Academic year and that the Bylaws of MSU Academic Governance be reviewed to see if they could be modified to allow such representation.  That motion passed the ECAC.  Professor Stone was officially informed by Dr. Potchen that Faculty Council met on February 13, 2007 and approved our participation in Faculty Council with voice but without vote.  This is what we had requested and it was approved.

Professor Stone agree to represent the Steering Committee while the group decided on a permanent representative to the Faculty Council.  A motion was passed to his representation and another motion was passed to indicate that the all members of the Steering Committee of the MSU Faculty Emeriti Association would be available for backup duty if needed.

IV.            The current version of the Bylaws was distributed for approval of the changes proposed by the subcommittee.  The major changes were:

A.    That the election of the new Steering Committee members will be held at a spring annual meeting.

B.    The Steering Committee will elect officers at the next meeting following the annual meeting in which elections are held and

C.    That bylaw amendments can be approved by 2/3 vote of those voting at the annual meeting.

A discussion followed about the annual meeting.  Professor Medick suggested that the annual meeting have at least 9 members attending for it to be considered an official annual meeting.  Suggestions were also given for procedures for elections and Bylaw amendments at the annual meeting.  Stone and Funk agreed to meet and rewrite the Bylaws to include these changes.   There was a general consensus to include these provisions.

It was agreed by the group that the revised Bylaws would be emailed sent to all members of the Steering Committee for approval.  The return vote would be sent to Allyn Shaw for counting.  It was agreed that a 2/3 majority would be needed to approve the Bylaws.  Any further amendments would have to go through the normal Bylaw procedure for adoption.
